General Terms and Conditions

The following general terms and conditions of EventAgents-Aachen for the organization and conduction of events and incentives form the basis and are an integral part of every contractual agreement between EventAgents-Aachen and the contracting party.

1. General

The contracting party hereby declares his or her express agreement with these general terms and conditions for all services rendered. Every contractual offer from the customer requires an order confirmation by EventAgents-Aachen.

2. Services

Content and extent of the contractual services are determined in each case according to the individual contract to be concluded, including appendices.

3. External Services

3.1 The contracting party agrees expressly that EventAgents-Aachen may contract third parties in its name and at its cost for the implementation of services stipulated.

3.2 Should EventAgents-Aachen broker individual services by external parties, as, for example, hotel stays, rental cars or flights, the conclusion of the contract and its content are in accordance with the individual conditions of the contracting partner. EventAgents-Aachen is not liable for damages in connection with such services, which were brokered solely as external services. The individual external provider is solely liable for providing the service.

4. Obligations of the Contracting Party

4.1 The contracting party will communicate to EventAgents-Aachen all the information needed to implement the contract as early as possible.

4.2 Proposals that EventAgents-Aachen creates for events or incentives may only be used by the contracting party if he or she has explicitlyauthorized EventAgents-Aachen to implement them.

5. Prices

EventAgents-Aachen may pass on to the contracting party increases in prices, incurred due to circumstances after the contract has been concluded and which were not predicable, if more than four months lie between the signing of the contract and the event or incentive. They may then only be passed on when a new price calculation containing precise information is carried out and this is explained to the contracting party at least three weeks before the event or incentive is to take place. For example, an increase of transportation costs, higher charges for certain services such as harbor or airport fees, or a change of the exchange rate for the trip concerned.

Price increases occurring through EventAgents-Aachen will be communicated to the customer immediately once they become known.

6. Cancellation/termination by unforeseeable acts of nature/insolvency

6.1 If the event is significantly hindered, impaired or impeded on account of an act of nature, which was not foreseeable when the contract was signed, EventAgents-Aachen and the contracting party may withdraw from the contract. The same is valid when insolvency proceedings are opened against one of the parties or such a proceeding is rejected due to a lack of funds.

6.2 EventAgents-Aachen will then return payments already effected; however, it explicitly reserves the right to demand compensation for services already rendered or those to be rendered in order to end the event. This compensation also contains the costs which are to be paid for services rendered by third parties and/orcancellation fees incurred that are due to the service providers.

7. Guarantee

7.1 If EventAgents-Aachen does not provide the services agreed upon or does not do so as per contract, the contracting party can demand corrective measures. He is obliged to show the employees of EventAgents-Aachen on location any defects without delay. In the eventuality of disruptions in services, the contracting party is obliged to do everything within reason in order to contribute to the termination of the problem and to maintain the damages occurring to a minimum. If he or she does not fulfill this obligation, he is not entitled to make any claims. If the corrective measures require a disproportionately high cost, EventAgents-Aachen may reject them.

7.2 It may be necessary to change individual services after the contract has been signed. Small changes to the services do not give the contracting party the right to withdraw from the contract, or rather to reduce the remuneration agreed upon. EventAgents-Aachen is obliged to obtain the agreement of the contracting party for all other changes.

7.3. In addition, the legal provisions are valid.

8. Liability

In the event a damage to the customer is caused by EventAgents-Aachen, neither through negligence nor premeditation, the entire liability for damages, other than personal injury, is limited to the three-fold of the priceagreed upon. This exemption from liability is also valid in case EventAgents-Aachen is solely responsible for damages to a customer on account of the fault of a service provider.

9. Exclusion from Claims

9.1 All claims by the contracting party have to be made in writing to EventAgents-Aachen within one month after the event/incentive has ended. After this period has expired, the contracting party can only then assert anyclaims if he or she was prevented from doing so without fault of his or her own.

9.2 All claims of the contracting party are subject to a limitation period of 2 years.

10. Assignment

The assignment of claims made by the contracting party to EventAgents-Aachen shall be excluded.

11. Nondisclosure

The contractual partners are obliged to mutually safeguard the company and business secrets of the other party. This obligation maintains in force after the contract has ended.

12. Final Clause

12.1 Should one of the provisions or regulations of the contract become ineffective or invalid, this does not affect the other provisions. The parties shall replace the ineffective regulation by an effective one, which fulfills the sense and purpose of the ineffective regulation as closely as possible.

12.2 If the contractual partner is a legal person, merchant or a company in the sense of Section 14 of the BGB [The German Federal Code],the place of jurisdiction for all claims from this contract is Aachen.

12.3 The law of the Federal Republic of Germany applies.
